CAPITAL PREPARATION & OFFERING SUPPORT
Your business. Its next stage.
Turn your expansion plan into a structured capital program with offering documents,
securities counsel, transfer-agent services and campaign operations.
Three services. One coordinated process.
Each phase is separately authorized. A private placement can precede Regulation A when appropriate, but it is not a prerequisite.
Rule 506(c) Private Placement
Full fee paid upfront
Prepare the PPM, subscription documents, business and financial disclosures, capitalization and use-of-proceeds schedules. Includes securities-counsel drafting/review, due-diligence coordination, accredited-investor verification, applicable filing work and initial transfer-agent services.
Purchasers must be verified accredited investors; securities are restricted.
Regulation A Preparation
$25,000 upfront + $25,000 in 30 days
Prepare Form 1-A Parts I–III, the offering circular, exhibits and subscription documents. Includes securities counsel, filing coordination, ordinary SEC comment responses through qualification, applicable state work, audit coordination and transfer-agent onboarding.
The second payment is automatically charged only with signed authorization. The independent audit is paid separately by your company.
Capital Campaign
Proposed $25,000 starting retainer
Build the investor-information portal, presentation, CRM and approved communications workflow. Includes campaign administration, up to six issuer/broker-led investor events, transfer-agent offering support and six months of operations from an agreed launch date.
Earned remaining fees may be deferred for payment from legally available proceeds under a written agreement. Regulated solicitation and placement require appropriately authorized professionals.
Included fees. Clear continuing terms.
All three phases total $175,000. Fees include the professional and third-party costs needed for the agreed scope, including securities counsel, non-audit accounting support, transfer-agent services, filings, verification, platform/payment administration and approved campaign costs. Included charges are paid from our fees and are not billed again.
Independent audit: contracted and paid directly by your company, in addition to our fees. Any brokerage-cost allocation must fit the agreed campaign budget or a separately negotiated written amendment before engagement; no additional brokerage charge is automatic.
Ongoing management: after completion, continued administration requires a separate management agreement. Proposed fee: 5% annually of net primary capital raised, paid monthly. Net capital is closed proceeds less refunds, direct offering expenses and returned investor capital. The rate and scope are negotiable, including when a broker-dealer participates. Overlapping work is credited to prevent duplicate billing.
How onboarding works
1. Tell us about your company. Share your capital target, expansion plan and desired timing using the form below.
2. Confirm scope and sign your engagement. We define the offering path, professional roles, selected phases and payment authorization.
3. Pay your starting fee. Use the invoice and wire instructions below. Include your company name and invoice number so we can match the payment.
4. Begin preparation. We issue the information request and coordinate the work. Form submission alone does not create an engagement or authorize a securities offering.
Payment instructions — service fees
Send payment only after your engagement and invoice are issued. Payee: 360 Agency LLC. These instructions are for service fees; investor subscription funds must follow the applicable offering’s separate instructions.

A wire does not authorize future automatic debits. Confirm any change to payment instructions directly with your established 360X contact before sending funds.
Using first-in capital for launch costs
Your written engagement and offering documents may authorize payment of earned, unpaid launch fees from the first legally available primary equity proceeds before discretionary expansion spending. All prior payments are credited against the same fee caps. Unclosed, refundable, escrow-restricted or prequalification Reg A funds cannot be spent. At low raise levels, launch costs may consume all available proceeds.
Authorized launch expenses are company costs. Properly earned compensation is not repayable solely because the venture or a later offering fails. Investors retain their purchased securities and stated rights. Unearned fees, duplicate charges, unauthorized payments and legally required recoveries remain subject to applicable remedies. The company remains responsible for earned campaign fees if fundraising is insufficient, as specified in the signed engagement.
